Claudia Losie has practiced in the areas of corporate finance and securities, corporate/commercial, natural resources and technology law for over twenty years. Her clients include private, emerging public and publicly traded companies in sectors such as natural resource (mining, oil and gas), alternative energy, technology, biotechnology and biomedical. Ms. Losie advises her clients on a broad range of matters including:
providing advice on corporate financing structures involving shares, warrants, special warrants, convertible debt securities, limited partnerships, and other securities or instruments; preparation of offering documents, including prospectuses, offering memoranda and term sheets, for public and private financings;
preparation of listing applications and support documents for Canadian and American stock exchanges and quotation systems;
mergers and acquisitions, including U.S. Cross Border transactions, reverse takeovers, corporate restructurings and reorganizations, capital alterations, and takeover defense mechanisms such as shareholder rights plans;
all agreements and legal documents related to mining exploration and development, including option agreements, joint venture agreements, staking and acquisition agreements, mining lease agreements, surface use agreements, royalty agreements, title opinions, bank credit facilities for mining and oil and gas projects, Aboriginal Band participation agreements;
securities regulatory compliance, including continuous disclosure, corporate governance, directors' and officers' liability, proxy contests, shareholder disputes, and assisting Canadian companies with U.S. SEC compliance;
technology transfer agreements, licence agreements, and distribution agreements;
confidentiality and standstill agreements.
